1. About Pips AI

Pips AI is a suite of personal desktop applications (Finance, GardenX, Connect, Mail, and others) developed and published by Ferrier Software. The applications are provided primarily as local desktop tools; some features require a network connection to the Pips Backend service hosted at api.pipsai.app.

2. License to Use

We grant you a non-exclusive, non-transferable, revocable license to use the Pips AI applications for personal or internal business purposes. You may:

• Install and run the applications on devices you own or control.
• Use the software for personal financial management, garden design, or other intended purposes.

You may not:

• Reverse-engineer, decompile, or disassemble the software beyond what is permitted by applicable law.
• Redistribute, resell, or sublicense the software without our written permission.
• Use the software for any unlawful purpose or in violation of third-party rights.
• Attempt to circumvent license enforcement or credit metering mechanisms.

3. Pips Credits

Certain AI-powered features within Pips AI applications require Pips credits ("Pips"). Pips are purchased through our payment processor (Stripe) and stored against your license key on our backend.

• Credits are consumed when you actively invoke an AI feature. Credits are never deducted automatically in the background.
• Pips credits are non-refundable once consumed by a completed AI call.
• Unused credits on a valid license key remain available until the key is deactivated or the service is discontinued.
• We reserve the right to adjust credit pricing for future purchases, but existing purchased credits are not affected.

4. Payment and Billing

Payments are processed by Stripe. By making a purchase you also agree to Stripe's terms of service. We do not store your payment card details.

All prices are shown inclusive of applicable VAT where required by law. Pricing is subject to change for future purchases.

Refunds for unused credit packages may be requested within 14 days of purchase by contacting us at support@pipsai.app, provided the credits have not been (substantially) consumed.

5. Your Data

Pips AI applications are designed with a local-first philosophy:

• Financial data (bank statements, transactions) is stored exclusively on your device in a local SQLite database.
• Garden designs, device configurations, and other project data remain local.
• When you use an AI feature, only the minimal necessary data (e.g., an image crop, a text prompt) is sent to our backend and onwards to the AI provider. We do not retain this data beyond the duration of the API call.
• We collect basic usage telemetry (feature invocations, error reports) to improve the product. This data is anonymous and cannot be linked to your identity without your license key.

6. AI-Generated Content

AI features in Pips AI applications are powered by third-party large language models (including Anthropic Claude). AI outputs are generated automatically and may contain errors, inaccuracies, or omissions.

• AI outputs are provided for informational and convenience purposes only.
• Financial categorizations, garden design suggestions, and other AI-generated content do not constitute professional advice.
• You are solely responsible for verifying AI-generated results before acting on them.

7. Financial Data Disclaimer

Pip Finance is a personal finance management tool, not a financial advisory service. The application:

• Parses and categorizes bank statement data using automated rules — categorizations may be incorrect.
• Does not connect directly to your bank and cannot initiate transactions.
• Is not affiliated with ING, Rabobank, ABN AMRO, or any other financial institution.
• Should not be used as the sole basis for financial, tax, or legal decisions.

8. Availability and Changes

We strive to keep the Pips Backend service available, but we do not guarantee uptime. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice of material changes where possible.

We may update these Terms from time to time. Continued use of the software after an update constitutes acceptance of the revised Terms.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The software is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the software.
• Our total liability to you for any claim under these Terms shall not exceed the amount you paid for Pips credits in the 12 months preceding the claim.

10. Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands, unless mandatory consumer protection law in your country requires otherwise.
